Standard Terms and Conditions of Sale

1. Definitions

JUST LABELS

Just Labels CC

THE CUSTOMER

Person or company designated as the receiver of the goods.

DISTRIBUTING AGENT

A courier or service provider who delivers or acts as a collection agent at the request of the client or Just Labels.

PAIA

The Promotion of Access to Information Act 2 of 2000 (PAIA).

POPIA

The Protection of Personal Information Act.

USER CONTENT

Customers may upload or include their own images, graphics, or other content (“user content”), including materials obtained from external sources such as the internet.

2. Description of goods and services

Just Labels is a business in the printing industry that offers bespoke printed labels and products.

3. Order process

3.1. Orders may be placed by one of the following processes:

3.1.1. Electronic order via website www.justlabels.co.za.

3.1.2. By e-post to sales@justlabels.co.za.

3.2. Any order will be of no force or effect unless received by Just Labels in accordance with these processes. Just Labels will not accept telephone orders and will not process an order unless it has received payment as provided for in paragraph 4 below.

3.3. Orders will be completed once Just Labels has received the order in accordance with paragraphs 3.1 and 3.2 above. It shall not be necessary for Just Labels to confirm receipt of the order. Accordingly, whoever places the order waives the requirement that he or she be notified that the order has been accepted.

3.4. Just Labels reserves the right to refuse to accept and/or execute an order without giving any reasons. In that event, Just Labels may apportion any payment received to discharge any debt owed by that customer to Just Labels and, failing that, shall refund that payment.

4. Price

4.1. Just Labels reserves the right to change the price of its goods from time to time without notice. Just Labels will honour an order where the tendered amount equals the published price prevailing on the day the order is placed.

4.2. Should Just Labels incur extra expense owing to suspension or variation of work due to incorrect instruction or lack of instruction by the customer, resulting in incorrect interpretation or mistakes not caused by Just Labels, the customer shall pay all such extra expenses upon invoicing.

5. Customer privacy policy

5.1. Just Labels shall take all reasonable steps to protect the personal information of the customer in accordance with PAIA and POPIA. Subject to dealings with distributing agents or copyright infringement, Just Labels will not share customer information with a third party unless compelled by law or court order.

5.2. By placing an order, the customer accepts that Just Labels may use personal information to communicate by SMS, email or WhatsApp about the progress and delivery of the order. This necessary communication forms part of the delivery service and may not be disabled by the customer.

5.3. Personal information may be used to keep the customer informed of promotions, product launches and competitions. The customer may disable this service or unsubscribe at any time.

5.4. To ensure efficient distribution, Just Labels may supply its distributing agents with the customer's name and contact details for identification on delivery or collection. The customer accepts this disclosure even where the order is identified by the name of a minor person.

6. Payment

6.1. Just Labels must receive full payment before an order is processed. No order is of any force or effect until Just Labels' bank account has been finally credited with the amount due. The transaction currency is South African Rand.

6.2. Payment may be made by:

6.2.1. Electronic transfer to Just Labels cheque account no. 4077981100 at ABSA Pavilion branch, clearing code 632005.

6.2.2. Visa or MasterCard payment via PayGate (Pty) Ltd, an approved payment gateway for South African acquiring banks. DPO PayGate uses Secure Socket Layer 3 (SSL3); card details are entered on DPO PayGate's secure site and are neither visible to nor stored by Just Labels. More information is available at www.paygate.co.za.

7. Delivery

7.1. The customer selects a product distribution method at checkout from approved distributing agents assigned by Just Labels, including:

7.1.1. Designated collection points throughout South Africa;

7.1.2. Couriers that deliver to the physical address supplied by the customer; or

7.1.3. Collection from a PostNet branch selected by the customer.

Delivery fees may be payable depending on the method selected.

7.2. Just Labels has discharged its delivery requirements when the product is dispatched from its Westville premises or, where the customer has specified another delivery method, when the goods leave Just Labels' premises.

7.3. Orders sent to an approved collection point will be retained for six months from the date in paragraph 7.2, after which Just Labels or its collection agent may dispose of the uncollected order without notifying the customer.

7.4. Risk in the goods passes to the customer once Just Labels has met its delivery requirements under paragraph 7.2.

7.5. Just Labels will dispatch all orders within seven working days of final confirmation of payment.

7.6. Dispatch, together with relevant tracking information, will be confirmed by SMS, WhatsApp or email on the day the order leaves Just Labels.

7.7. The offer on this website is specifically for South African clients. Export orders may be supported by special request.

8. Warranties and disclaimers

8.1. Subject to paragraph 8.2, Just Labels warrants that goods will be free from defects in material and workmanship for six months from dispatch, provided that they are stored, used and maintained according to relevant instructions. Warranty claims will not be entertained unless the customer notifies Just Labels in writing within seven days of discovering the defect.

8.2. This warranty does not apply where goods have been subjected to misuse.

8.3. Just Labels disclaims liability to the customer for consequential damages or loss suffered as a result of a defect in supplied goods or any other breach of its obligations under this contract.

8.4. The customer must notify Just Labels within fifteen working days after delivery under paragraph 7 of any shortage of goods or misspelt labels. Failing such notice, the customer is precluded from bringing a claim against Just Labels.

8.5. Just Labels is not liable for failure to perform an obligation owing to fire, flood, industrial dispute, accident or any other cause beyond its reasonable control.

9. Legal proceedings

9.1. If legal proceedings are instituted:

9.1.1. The parties consent to the jurisdiction of the Magistrates' Court of Durban.

9.1.2. Service on Just Labels may be effected at 17 Westville Centre, 52 Norfolk Terrace, 3629, Westville, KwaZulu-Natal.

9.1.3. Service on the customer or person placing the order may be effected at the address to which the goods were to be delivered.

9.2. Just Labels is entitled to recover interest on any amount due at 4% above the prevailing ABSA Bank prime interest rate.

9.3. Just Labels is entitled to recover its legal costs as between attorney and client.

10. Changes and amendments

10.1. Just Labels may alter and/or amend these standard terms and conditions of sale without notice. Before placing an order, the customer must reacquaint himself or herself with the prevailing terms and conditions by accepting them when placing the order, visiting the Just Labels website, or requesting a copy.

10.2. Just Labels may change or amend prices and rates quoted on its website without notice.

10.3. These terms constitute the sole and exclusive terms of the contract between the parties. A variation, amendment or waiver has no force or effect unless reduced to writing and signed by both parties or, for an amendment by email, confirmed by both parties by email.

10.4. Once an order has been placed and paid for, no cancellation or changes will be accepted without written agreement between Just Labels and the customer.

11. Intellectual property rights, copyright and content disclaimer; hate speech

11.1. Intellectual property and copyright in products supplied by Just Labels remain vested in Just Labels at all times, including drawings, specifications, product designs, product images and technical documentation. The customer may not copy this documentation without Just Labels' prior written consent.

11.2. All content and data on this website, including software, databases, text, graphics, icons, hyperlinks, private information and designs, are the property of or licensed to Just Labels and are protected from infringement by domestic and international legislation and treaties. All other intellectual-property rights are expressly reserved.

11.3. The Just Labels platform provides software tools that allow customers to design and customise their own labels. Customers may upload or include their own images, graphics or other user content, including material obtained from external sources such as the internet.

11.4. Except for products identified on the platform as owned by Just Labels, Just Labels does not own, control or verify the copyright status of user content uploaded or used through the platform. By using the platform, customers acknowledge and agree that:

11.4.1. Customers are solely responsible for ensuring that they have the necessary rights, licences or permissions to use images or other materials in their designs in accordance with the Copyright Act 98 of 1978 and other applicable laws.

11.4.2. Just Labels does not claim ownership of user content and does not monitor or approve it for copyright compliance.

11.4.3. Just Labels, its owners, directors, employees and affiliates disclaim all liability for copyright infringement, intellectual-property violation or unlawful use of materials arising from user content created or shared by customers.

11.4.4. Just Labels may remove or disable access to user content that it reasonably believes may infringe the rights of others or violate applicable law.

11.4.5. Just Labels may be required to provide a third party with personal information of a customer alleged to be in breach of copyright. The customer authorises Just Labels to provide this information for that purpose.

11.4.6. Users agree to indemnify and hold harmless Just Labels from and against claims, losses or damages arising from the use or publication of user content.

11.5. This disclaimer and any dispute arising from it are governed by the laws of the Republic of South Africa and subject to the exclusive jurisdiction of South African courts.

11.6. Just Labels may refuse to print or publish user content that, in its opinion, amounts to hate speech, including expression intended or having the effect of vilifying, humiliating or inciting hatred against a group or class of persons on the basis of race, religion, skin colour, sexual identity, gender identity, ethnicity, disability or national origin.

11.7. The customer authorises Just Labels to take down, refuse to print or delete from its database any user content that Just Labels, in its discretion, does not wish to print or retain for any reason.

12. Linking and framing

12.1. A third-party site may link to this website only where the link is directed to the home page. No person, business, entity or website may link to a page other than the home page without Just Labels' prior written approval.

12.2. No person, business, entity or website may frame any page on this website, including the home page, without Just Labels' prior written approval.

13. Disclaimer

13.1. This website is supplied on an “as is” basis and has not been compiled or supplied to meet the user's individual requirements. The user is solely responsible for satisfying themselves that the service available from this website meets their requirements and is compatible with their hardware and/or software.

13.2. Information, ideas and opinions on this site are not professional advice or the official opinion of Just Labels. Users are encouraged to obtain professional advice before acting on them.

13.3. Just Labels is not liable for damage, loss or liability of any nature arising from the use of, or inability to use, this website or services or content supplied through it. Just Labels makes no representation or warranty that content and technology are free from errors or omissions or that the service will be uninterrupted and error free.

14. Applicability and governing law

This website is controlled and operated from the Republic of South Africa. South African law governs use of this website and these terms and conditions.
